BY ACCESSING OR PARTICIPATING IN THE RECOMMENDED CREDITS PROGRAM, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS AND ALL TERMS INCORPORATED BY REFERENCE AS DESCRIBED BELOW. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, YOU MAY NOT ACCESS OR PARTICIPATE IN THE RECOMMENDED CREDITS PROGRAM.

These Recommended Credits Program Terms and Conditions ("Terms") apply to your access to and participation in the Recommended Credits Program ("Credits Program" or "Recommended Credits," or "Credits"), which is operated by Smith.ai, Inc. or its affiliates (collectively, "Recommended", "our", "us," or "we"). These Terms do not alter in any way the terms or conditions of any other agreement you may have with Recommended for other products and services. Please note that your access to and participation in the Credits Program is also governed by the terms, conditions, limitations and requirements linked in these Terms, all of which (as may be changed over time) are incorporated into these Terms. In addition, these Terms complement and incorporate by reference the Recommended Terms of Use. In the event of any conflict between the Recommended Terms of Use and these Terms, the Recommended Terms of Use will control.

Recommended reserves the right to change, modify and/or eliminate the Credits Program and/or all or any portion of these Terms or any policy pertaining to the Credits Program at any time and in our sole discretion, including our right to discontinue or change the Tiers (defined below) or benefits or change the expiration date of Credits (defined below) received under the Credits Program, merge the Credits Program with another Credits Program, or to adjust how Credits are earned, calculated or redeemed. It is possible that you may be unable to receive enough Credits to redeem them if we discontinue the Credits Program or merge the Credits Program into another Credits Program. If we make changes, we will post the amended Terms to https://www.getrecommended.com/help/credits_tos/ and update the “Last Updated" date above. We may also attempt to notify you in other ways. Unless we say otherwise, the amended Terms will be effective immediately and your continued participation in the Credits Program after the amended terms are posted will confirm your acceptance of the changes. If you do not agree to the amended Terms, you must stop participating in the Credits Program.

1. Credits Program Eligibility

You must be a United States resident (including residents of U.S. Territories) who is at least 18 years of age to participate in the Credits Program.

Please review our Privacy Policy, which also governs your visit to the GetRecommended.com website, to understand our practices.

3. Credits Program Description

The Credits Program is a free customer loyalty program that allows participants to earn Credits with qualifying activities on GetRecommended.com. Participants in the Credits Program may redeem accumulated Credits for goods and services available for purchase on GetRecommended.com and may also use the Credits for other purposes as may be provided by Recommended from time to time. These Terms provide a general overview of the Credits Program. 4. Joining the Credits Program

There are no membership fees associated with the Credits Program. You are automatically enrolled in the Credits Program when you register for a GetRecommended.com account.

Users who joined Recommended prior to the launch of the Credits Program are automatically enrolled in the Credits Program. If you are automatically enrolled, you still must agree to these Terms in order to complete your enrollment and participate in the Credits Program, including redeeming Credits or receiving any other Credits Program benefits. If you do not agree to these Terms, you cannot participate in the Credits Program. Auto-enrolled customers may opt-out of the Credits Program at any time by contacting the Recommended Customer Rewards Team via email at c[email protected].

Once you are enrolled in the Credits Program and have accepted the Terms, you can view and manage your Credits Program account (“Credits Program Account) by logging into your Recommended Account. You may only have one Credits Program Account, and it is nontransferable. You are responsible for anyone else who uses your Credits Program Account.

5. Earning Credits

The benefits that are available to you through the Credits Program are based on the number of Credits that you earn by participating in qualifying activities on GetRecommended.com . For information about how to earn Credits from activities, please visit the Recommended Credits FAQ page.

6. Activities

In order to receive Credits for an activity, your activity must be completed from the Recommended Account that is associated with your Credits Program Account. For details about how to earn Credits by participating in qualifying activities, please visit our Recommended Credits FAQ page. Purchases made from Smith.ai or any other websites owned or operated by Smith.ai, Inc. or its affiliates other than GetRecommended.com are not eligible for Credits or other benefits unless otherwise indicated.

7. Redemption of Credits

You can redeem Credits posted to your Credits Program Account, which can be applied toward Recommended purchases and purchases initiated on GetRecommended.com but that are completed on an external website. You can redeem your Credits in two ways, by:

  • Logging into your Recommended Account and making a purchase. The amount of available Credits will appear as an available discount to you on your purchase. You may redeem your Credits on any given purchase.
  • Logging into your Recommended Account and making a purchase by clicking on a good or service listed on GetRecommended.com that takes you to an external website other than GetRecommended.com to complete the purchase. Recommended will reimburse you in cash (via PayPal or Google Wallet) for the dollar equivalent of your Credits balance available at the time of your purchase upon receiving your purchase receipt, and will reduce your Credits balance by the reimbursement amount. This reimbursement and balance reduction will take place within seven (7) business days of Recommended receiving the purchase receipt. Credits are only divisible down to the integer. In the event that the price of a booking includes cents, you must apply enough Credits to cover that purchase, rounded to the next highest integer. For example, if the price is $100.20, $101 Credits are required to cover the purchase.

Credits accumulated under the Credits Program are promotional in nature and have no cash value. Your Credits and your Credits Program Account are personal to you and may not be sold, transferred (by operation of law or otherwise) or assigned to or shared with, family, friends or others. You are responsible for any federal, state or local taxes applicable to your participation in the Credits Program.

8. Expiration of Credits

Credits expire ninety (90) days from the date they are earned. Some Credits may not be combined with other offers or promotions. Recommended reserves the right to adjust the expiration window at any time. In the event of this, any existing credits will retain their expiration dates, and any new Credits earned after the adjustment will be subject to the new expiration window.

9. Impact of Goods and Services Returns and Refunds on Your Credits

If you return or receive a refund for goods and services that you purchased with your Credits, you will be refunded the amount you paid (excluding the value of the Credits and any other discounts) to the original method of payment. For example, if you placed an order totaling $100 for one item and used $10 Credits, we will refund $90 to your original method of payment. If you purchase multiple items in one transaction, then the value of your Credits is applied proportionally to each item, and returns of any one item will result in a refund of the amount you paid for the item, excluding the value of the proportionally applied value of the Credits. Recommended will credit the redeemed Credits back to your Credits Program Account.

If you delete a recommendation or retract an activity for which you earned Credits, Recommended will deduct the Credits that you were awarded for that activity from your Credits Program Account. If you have already redeemed those Credits, this could potentially result in a negative Credits balance in your Credits Program Account.

10. Miscellaneous

Without notice to you, Recommended reserves the right to suspend or terminate your Credits Program Account and/or your participation in the Credits Program (in whole or in part), if Recommended determines in its sole discretion that you have violated these Terms, you have more than one Credits Program Account, or that the use of your Credits Program Account or your participation in the Credits Program is unauthorized, abusive, deceptive, fraudulent or otherwise unlawful. Recommended may, in its sole discretion, suspend, cancel or combine Credits Program Accounts that appear to be duplicative. In the event that your participation in the Credits Program is terminated, you will not be able to redeem any accumulated Credits

Recommended reserves the right to adjust any users' Credits balance if Recommended determines in its sole discretion that you have violated these Terms or that your participation in the Credits Program is unauthorized, abusive, deceptive, fraudulent, or otherwise unlawful. In the event that your Credits have been accumulated in a manner that violates these Terms, including but not limited to creating fake service offerings, fake recommendations, fake businesses, Recommended will remove those illegitimately earned Credits from your account and they will not be available to you for redemption.
